This Subscription & Billing Policy ("Policy") describes the trial, subscription, licensing, billing, cancellation, data retention, and refund practices of Vibe Supply Products LLC ("Company," "we," "our," or "us") in connection with the Vibe Construction Suite platform, including the Hub and all associated applications, modules, and related services (collectively, the "Services").
PLEASE READ THIS POLICY CAREFULLY BEFORE PURCHASING A SUBSCRIPTION.
This Policy applies to any individual or entity that creates an account, starts a free trial, or purchases a subscription to the Services ("Customer" or "you"). By starting a free trial or purchasing a subscription, you acknowledge that you have read, understood, and agree to be bound by this Policy.
1. PURPOSE OF THIS POLICY
The purpose of this Policy is to state clearly and in advance how free trials, subscriptions, seat licensing, billing cycles, payments, renewals, cancellations, refunds, and data retention operate across the Vibe Construction Suite, so that every Customer understands its commercial rights and obligations before incurring any payment obligation.
2. RELATIONSHIP TO THE TERMS OF SERVICE
This Policy is incorporated by reference into, and forms part of, the Vibe Construction Suite Terms of Service. Capitalized terms not defined in this Policy have the meanings given to them in the Terms of Service. The Privacy Policy governs the handling of personal information referenced in this Policy.
In the event of a conflict between this Policy and the Terms of Service with respect to subscription, billing, refund, or retention matters, this Policy controls. In all other respects, the Terms of Service control. Nothing in this Policy limits any right you may have under applicable law that cannot lawfully be waived.
3. FOURTEEN (14) DAY FREE TRIAL
Each new company account is eligible for one (1) free trial of the Vibe Construction Suite lasting fourteen (14) days from the date the trial is activated. The free trial is granted at the company level and covers the applications made available by the Company during the trial period.
No payment method is required to begin the free trial, and no automatic billing occurs during or at the end of the free trial.
The free trial does not convert into a paid subscription automatically. No payment obligation exists unless and until the Customer voluntarily purchases a subscription. At the conclusion of the free trial, access to trial applications ends until a subscription is purchased.
Free trials are limited to one per company. The Company may, in its sole discretion, extend, shorten, modify, or decline a free trial, including where it reasonably believes the trial is being used to circumvent this limitation.
4. HOW A PAID SUBSCRIPTION BEGINS
A paid subscription begins only when an authorized owner or administrator of the company account affirmatively selects a plan, confirms the number of seats, provides a valid payment method, and completes the purchase within the Hub.
Upon completion of purchase, the subscription becomes active, the applicable charges are authorized for the selected billing cycle, and licensed access is provisioned to the assigned users.
5. SUBSCRIPTION PLANS AND PRICING STRUCTURE
Subscriptions to the Vibe Construction Suite are sold on a per-application, per-user basis. A company's first licensed application is billed at the primary application rate, and each additional, different application licensed for that same user is billed at the reduced additional application rate.
The discounted additional application rate applies only to different applications and does not apply to duplicate licenses of an application the company already licenses. Current rates for each application are displayed within the Hub at the time of purchase and are the controlling prices for that transaction.
6. SEAT-BASED LICENSING
Licenses are seat-based. Each seat is assigned to one (1) named, authorized individual user.
- A seat may not be shared, pooled, rotated among individuals, or used concurrently by more than one person.
- User accounts and credentials may not be shared under any circumstances.
- A seat may be reassigned to a different individual when a user leaves the company or changes roles; reassignment is not a substitute for purchasing additional seats.
- A user must hold an assigned seat for an application in order to access that application.
- The Company may audit seat usage and may suspend or require the purchase of additional seats where sharing or over-deployment is detected.
7. BILLING CYCLES
Subscriptions are billed in advance on a monthly billing cycle unless a different cycle is expressly offered and selected at the time of purchase. The billing period begins on the date of purchase and renews on the same day of each subsequent period.
The Company may in the future offer annual or other billing cycles. Where an annual cycle is offered and selected, the full annual amount is billed in advance for the entire committed term, and the terms of this Policy apply to that term unless different terms are expressly stated at the time of purchase.
8. PAYMENT METHODS
Payments are processed through the Company's third-party payment processor. Accepted payment methods are those displayed at checkout and may include major credit and debit cards and other electronic payment methods.
You represent that you are authorized to use the payment method you provide, and you authorize the Company and its payment processor to charge that payment method for all amounts due, including recurring charges, seat additions, and applicable taxes. You are responsible for keeping your payment method current and valid. The Company does not receive or store complete payment card numbers.
9. TAXES
All fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, goods and services, excise, and similar taxes, duties, levies, and assessments arising from your subscription, excluding taxes based on the Company's net income.
Where the Company is required to collect such taxes, they will be added to the amount charged. If you are exempt from a tax, you must provide valid documentation of exemption in advance; exemptions are not applied retroactively.
10. FAILED PAYMENTS
If a payment is declined, reversed, or otherwise fails, the Company or its payment processor may reattempt the charge over a reasonable period and will notify the account owner or administrator.
If the amount due remains unpaid, the Company may suspend access to the affected applications until payment is received and may ultimately terminate the subscription. Reinstatement of a suspended subscription may require payment of all outstanding amounts. You remain responsible for all amounts accrued prior to suspension or termination.
11. SUBSCRIPTION RENEWALS
Paid subscriptions renew automatically at the end of each billing period at the then-current rate and seat count, using the payment method on file, unless cancelled before the end of the current period.
Automatic renewal applies only to paid subscriptions. It never applies to free trials, which do not convert automatically. You may disable automatic renewal at any time by cancelling the subscription as described in this Policy.
12. ADDING USER SEATS
Seats may be added at any time through the Hub by an owner or administrator. Added seats become available for assignment immediately upon successful payment authorization.
Adding seats may result in an immediate charge or a prorated charge for the remainder of the current billing period, as indicated at the time of the change. Added seats are included in the recurring amount charged at the next renewal.
13. REMOVING USER SEATS
Seats may be removed at any time through the Hub by an owner or administrator. Unless otherwise expressly stated at the time of the change, seat reductions take effect at the start of the next billing period.
Removing a seat during an active billing period does not generate a refund, credit, or partial billing adjustment for the remainder of that period. The reduced seat count is reflected in the amount charged at the next renewal.
14. SUBSCRIPTION CANCELLATION
A subscription may be cancelled at any time by an owner or administrator through the Hub, or by contacting billing support. Cancellation stops future automatic renewals.
Cancellation is effective at the end of the current paid billing period. No further charges are incurred for that subscription after the effective date of cancellation, except for amounts already accrued and unpaid.
15. SERVICE ACCESS AFTER CANCELLATION
Following cancellation, licensed access continues uninterrupted through the end of the billing period that has already been paid. At the end of that period, application access ends and assigned seats are released.
Unused time in a paid billing period is not converted into credits and is not refunded, except where a refund is required by applicable law.
16. DATA RETENTION AFTER CANCELLATION OR TRIAL EXPIRATION
Customer project data associated with a company account remains available for up to ninety (90) days following cancellation of a subscription or expiration of a free trial. During this period, the Customer may reactivate a subscription or request assistance in exporting data.
After ninety (90) days, Customer project data may be permanently and irreversibly deleted.
The Customer is solely responsible for exporting, downloading, or otherwise preserving any information it wishes to retain before the end of the ninety (90) day retention window. The Company has no obligation to retain, restore, or recover data after that window closes. Certain records, including billing records, legal acceptance records, and audit logs, are retained separately as required for compliance purposes.
17. REFUND POLICY
Because every Customer receives a fourteen (14) day free trial before any purchase, subscription payments are non-refundable after purchase.
Refunds will be issued only:
- where a refund is required by applicable law; or
- where the Company elects, in its sole discretion, to issue a refund.
Any refund granted in the Company's discretion is a one-time accommodation, is not a waiver of this Policy, and does not create an obligation to issue refunds in other circumstances. Approved refunds are issued to the original payment method.
18. NO PARTIAL BILLING CREDITS
The Company does not provide partial billing credits, prorated refunds, or account credits for unused time, unused seats, unused applications, periods of inactivity, or voluntary non-use of the Services during a paid billing period, except where required by applicable law.
19. PROMOTIONAL PRICING AND DISCOUNTS
The Company may from time to time offer promotional pricing, introductory rates, coupon codes, temporary discounts, bundled offers, or other incentives. Each such offer is subject to the specific terms stated at the time it is made and may be limited in duration, scope, eligibility, and availability.
Promotional pricing, discounts, coupon codes, introductory offers, and temporary pricing do not create any permanent right to discounted pricing in future billing periods.
Unless expressly stated otherwise, promotional pricing expires at the end of the stated promotional period, after which the subscription renews at the then-current standard rate. Offers may not be combined unless expressly permitted, and the Company may withdraw or modify any offer prospectively.
20. PRICING CHANGES
The Company may modify its pricing, plan structure, or seat rates for future billing periods. Where pricing changes affect an existing subscription, the Company will provide reasonable advance notice through the Hub, by email to the account owner or administrator, or by other reasonable means.
Pricing changes apply only prospectively and do not retroactively affect amounts already paid.
If you do not agree to a pricing change, your remedy is to cancel the subscription before the change takes effect at the next renewal.
21. BILLING DISPUTES
If you believe an amount has been billed in error, contact billing support at admin@vibeconstructionsuite.com promptly and in any event within sixty (60) days of the charge in question. Please include the account name, invoice or charge date, amount, and a description of the disputed item.
The Company will investigate in good faith and respond within a reasonable period. Undisputed portions of an invoice remain payable while a dispute is being reviewed. Nothing in this section limits any right available to you under applicable law.
22. CHARGEBACKS
Whenever reasonably possible, please contact the Company before initiating a chargeback or payment dispute with your card issuer or bank. Most billing questions can be resolved directly and more quickly through billing support.
Chargebacks that the Company reasonably determines to be fraudulent or abusive may result in immediate suspension or termination of the account, release of assigned seats, and recovery of amounts owed together with any associated fees. Nothing in this section limits or waives any right available to you under applicable law or under the rules of your payment provider.
23. SERVICE SUSPENSION
The Company may suspend or restrict access to the Services, in whole or in part, for:
- non-payment or repeatedly failed payments;
- fraud or suspected fraudulent activity;
- abuse of the Services, seats, trials, or promotional offers;
- security concerns, including compromised credentials or unauthorized access; or
- violation of the Terms of Service or this Policy.
Where practicable and lawful, the Company will provide notice before suspension and an opportunity to cure. Suspension does not relieve the Customer of the obligation to pay amounts accrued.
24. ENTERPRISE AND CUSTOM LICENSING
The Company may offer enterprise, volume, multi-entity, or custom licensing arrangements in the future. Such arrangements are governed by a separately executed order form or agreement, which controls over this Policy to the extent of any conflict for that Customer.
25. FUTURE MODULES, MARKETPLACE, AND PREMIUM SERVICES
The Company may introduce additional software modules, add-on applications, marketplace purchases, professional services, premium support tiers, and artificial intelligence or usage-metered subscriptions and features.
Such offerings may be priced separately, billed on a recurring, one-time, consumption, or credit basis, and may carry additional terms disclosed at the time of purchase. Unless expressly stated otherwise, this Policy applies to those offerings, including its refund, cancellation, and retention provisions.
26. BILLING SUPPORT
For questions regarding invoices, payment methods, seats, plan changes, cancellations, refunds, or any other billing matter, contact billing support at admin@vibeconstructionsuite.com. Please include your company name and account email so the request can be verified and processed promptly.
27. UPDATES TO THIS POLICY
The Company may revise this Policy from time to time. When material changes are made, the Company will publish the revised Policy with an updated version number and Last Updated date and, where appropriate, provide additional notice through the Services or by email.
Each published version of this Policy is retained as a distinct, versioned document. Revisions apply prospectively to billing periods beginning after the revision takes effect. Continued use of the Services or renewal of a subscription after the effective date constitutes acceptance of the revised Policy.
